Terms of Service (AIDA)

These Terms of Service ("Terms") govern your access to and use of AIDA's website and services (collectively, the "Services"), including our marketing website, free trial request form, and related resources. By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Who We Are
The Services are provided by AIDA Inc. ("AIDA", "we", "us").

2. Eligibility
You may use the Services only if you:
- Are at least the age of majority in your jurisdiction; and
- Have the legal capacity to enter into a binding contract.
If you are using the Services on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.
3. The Services
The Services include our marketing site, the free trial request process, and related materials we make available (such as pages, documentation, and informational resources).
We may update, change, suspend, or discontinue any part of the Services at any time, including adding or removing features, content, or functionality.
4. Free Trial Requests and Communications
If you submit a free trial request or otherwise provide contact information to us, you agree that we may contact you using the information you provide for purposes such as:
- Responding to your request;
- Providing trial-related communications and support; and
- Sending service-related messages.
You represent that any business contact information you submit (including information about colleagues) is provided lawfully and with appropriate authorization.
5. Acceptable Use
You agree not to use the Services in any way that:
- Violates applicable laws or regulations;
- Infringes, misappropriates, or otherwise violates intellectual property or other rights;
- Attempts to probe, scan, or test the vulnerability of any AIDA system or network, or bypass any security measures;
- Interferes with or disrupts the integrity or performance of the Services (including through denial-of-service attacks or similar conduct);
- Uses automated means to access, scrape, or collect data from the Services at scale without our prior written permission;
- Uploads, transmits, or distributes malicious code (including viruses, worms, or malware), or engages in phishing, spamming, or other abusive practices; or
- Impersonates any person or entity, or misrepresents your affiliation with a person or entity.
We may investigate suspected violations and may suspend or terminate your access as described in Section 12.
6. Intellectual Property
AIDA's materials. The Services and all related content, features, and functionality—including text, graphics, logos, designs, and software—are owned by AIDA or its licensors and are protected by applicable intellectual property laws.
Limited license. Subject to these Terms, AIDA grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for your internal business evaluation purposes.
Restrictions. Except as expressly permitted by these Terms, you may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works of the Services or any part of them.
Feedback. If you provide suggestions, ideas, or feedback about the Services, you agree that AIDA may use that feedback without restriction and without compensation to you.
7. User Submissions
If you submit information or materials through the Services (for example, through forms, messages, or emails) ("Submissions"):
- You grant AIDA a worldwide, non-exclusive, royalty-free license to use, reproduce, and process your Submissions solely to operate, provide, maintain, and improve the Services and to respond to your requests.
- You represent and warrant that you have all rights necessary to provide the Submissions and that the Submissions do not violate any law or the rights of any third party.
8. Third-Party Services and Links
The Services may contain links to third-party websites or services. AIDA does not control and is not responsible for third-party content, policies, or practices. Your use of third-party services is at your own risk and subject to those third parties' terms.
9. Disclaimers
To the maximum extent permitted by law, the Services are provided "AS IS" and "AS AVAILABLE." AIDA disclaims all warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
AIDA does not warrant that the Services will be uninterrupted, error-free, secure, or free of harmful components, or that any content will be accurate or complete.
Some jurisdictions do not allow the exclusion of certain warranties, so some of these disclaimers may not apply to you.
10. Limitation of Liability
To the maximum extent permitted by law:
- AIDA will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of (or inability to use) the Services, even if AIDA has been advised of the possibility of such damages.
Aggregate liability cap. To the maximum extent permitted by law, AIDA's total liability for all claims arising out of or relating to the Services will not exceed the greater of:
- USD $100; or
- The total amounts you actually paid to AIDA for the Services in the 12 months preceding the event giving rise to the claim (if any).
Because the free trial is offered at no charge, the amount in item (2) may be $0, in which case the cap in item (1) applies.
Some jurisdictions do not allow certain limitations of liability, so these limitations may not apply to you.
11. Indemnification
You agree to indemnify, defend, and hold harmless AIDA, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Services;
- Your Submissions; or
- Your violation of these Terms or applicable law.
12. Termination
By you. You may stop using the Services at any time.
By AIDA. We may suspend or terminate your access to the Services at any time if we reasonably believe you have violated these Terms, posed a security risk, or used the Services in a manner that could create legal exposure or harm.
Sections that by their nature should survive termination will survive, including Sections 6 (Intellectual Property), 9 (Disclaimers), 10 (Limitation of Liability), 11 (Indemnification), and 13 (Governing Law & Dispute Resolution).
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the People's Republic of China, without regard to conflict of laws principles.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be submitted to the competent courts located in Hangzhou, Zhejiang, China, and you and AIDA consent to the exclusive jurisdiction and venue of those courts.
14. Changes to These Terms
We may update these Terms from time to time. If we make changes, we will post the updated Terms and revise the "Last Updated" date above. Your continued use of the Services after the updated Terms become effective constitutes your acceptance of the updated Terms.
15. Miscellaneous
- Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
- Assignment. You may not assign these Terms without AIDA's prior written consent. AIDA may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.
- No waiver. AIDA's failure to enforce any provision of these Terms is not a waiver of its right to do so later.
- Entire agreement. These Terms constitute the entire agreement between you and AIDA regarding the Services and supersede any prior or contemporaneous agreements or understandings on the subject.
- Force majeure. AIDA will not be liable for delays or failures in performance resulting from events beyond AIDA's reasonable control.
